This Employee Proprietary Information and Invention Agreement is designed to be used by an employer whose employees are developing marketing or campaign information, technology, or other intellectual property projects for which the Employer wishes to both retain ownership and maintain confidentiality as a competitive advantage. In addition, it is designed to ensure the employee does not use a prior employer or other third-party intellectual property when undertaking the work on behalf of the Employer thereby limiting or eliminating potential claims against the Employer. It also covers an employer’s client’s intellectual property which is provided to the employee as part of the employee’s job duties.
